Terms of Service

These terms describe the standard commercial position for NSS software services. A signed proposal, statement of work, data processing agreement, or master services agreement takes precedence where it expressly differs.

Scope of services

NSS provides software engineering, QA strategy, test automation, technical review, modernization, and delivery support for web platforms and internal business systems.

Project documents

The agreed scope should be recorded in a proposal, statement of work, ticket set, sprint plan, or written acceptance criteria. Ambiguities are resolved by the written scope and project communications.

Out-of-scope work

Features, integrations, compliance tasks, data migration, emergency support, production operations, or design work not stated in scope are out of scope unless agreed in writing.

Professional judgment

NSS may recommend changes to scope, architecture, QA coverage, or delivery order when needed for maintainability, security, or realistic delivery.

Client responsibilities

Successful software delivery depends on timely client input, accurate information, access to systems, and realistic decision-making.

Access and materials

The client must provide necessary accounts, repositories, environments, API documentation, test data, stakeholder access, and business rules.

Review and acceptance

The client must review deliverables within the agreed review period. Delayed feedback can move timelines, increase cost, or require re-planning.

Legal basis for data

The client is responsible for ensuring that data, content, credentials, and third-party materials supplied to NSS may lawfully be used for the project.

Delivery, acceptance, and changes

NSS delivers in clear increments where possible. Acceptance is based on agreed criteria, documented scope, and reasonable professional standards for the type of service.

Acceptance

A deliverable is accepted when the client approves it, uses it in production, fails to reject it with specific reasons within the review period, or when agreed acceptance tests pass.

Defects

A defect is a reproducible failure to meet agreed scope. Changes in preference, new requirements, third-party outages, or client environment issues are not defects unless agreed otherwise.

Change requests

Scope changes may affect price, timing, architecture, test coverage, and delivery order. NSS may require written approval before starting changed work.

Fees, invoicing, and payment

Fees are stated in the proposal or invoice. Unless agreed otherwise, prices exclude VAT, taxes, third-party charges, cloud usage, licenses, paid APIs, and payment provider costs.

Payment terms

Invoices are payable by the due date stated on the invoice. Late payment may pause work, delay delivery, or trigger reasonable collection costs and statutory interest where permitted.

Time and materials

For time-based work, estimates are planning tools rather than fixed caps unless explicitly stated as fixed-price.

Expenses

Pre-approved travel, hosting, test devices, licenses, specialist tooling, or third-party services may be billed separately.

Intellectual property and licenses

IP ownership depends on the agreement and payment status. NSS aims to make ownership clear before delivery.

Client materials

The client keeps ownership of its pre-existing materials, data, brand assets, requirements, and business content.

Project deliverables

Upon full payment, the client receives the agreed rights in custom deliverables created specifically for the project, except NSS pre-existing tools, templates, know-how, and open-source components.

Open source and third-party code

Open-source packages and third-party services remain governed by their own licenses and terms. NSS may recommend alternatives if license risk is identified.

Confidentiality and security

Both parties should protect non-public business, technical, security, and project information with reasonable care.

Confidential information

Source code, credentials, architecture, data models, business rules, roadmaps, pricing, vulnerabilities, and client communications are treated as confidential unless public or independently known.

Security limits

No software or security measure is risk-free. NSS does not guarantee that a system will be immune from every vulnerability, outage, misuse, or third-party failure.

Production access

Production access should be limited, logged where practical, and removed when no longer needed.

Liability and warranties

NSS provides services with reasonable professional care. To the maximum extent permitted by law, liability is limited to direct losses caused by NSS breach and excludes indirect or consequential losses.

Excluded losses

Excluded losses include lost profit, lost revenue, lost data, loss of goodwill, business interruption, replacement procurement, and claims caused by client instructions or third-party services.

Liability cap

Unless a signed agreement states otherwise, NSS liability is capped at the fees paid for the affected service in the three months before the event giving rise to the claim.

Non-excludable liability

Nothing in these terms excludes liability that cannot legally be excluded, including intentional misconduct where applicable law prohibits exclusion.

Website use

The website is provided for general information. Visitors must not misuse it, interfere with availability, attempt unauthorized access, scrape excessively, or test security without written permission.

No legal advice

Website content does not replace legal, tax, security, compliance, procurement, or insurance advice.

Content rights

Text, design, assets, and site media may not be copied or reused without permission unless allowed by law.

Updates

NSS may update website content and these terms to reflect service, legal, or operational changes.
